MARTIAL STATUS / LEWD BEHAVIOR – MAKE FRIENDS 247 does not promote lewd behavior all members shall be single or separated from their spouse to use the SERVICE(S) of MAKE FRIENDS 247.

MEMBERSHIP AND SUBSCRIPTION – as a Member of MAKE FRIENDS 247 you may use some, or all, of the features and SERVICE(S) available within the SERVICE(S).

To access or use additional features and SERVICE(S), including the ability to communicate with other Members that are subscribers, you must belong to a membership package.

You also acknowledge and agree that if you are later not a subscriber, you will not be able to use all or no features or SERVICE(S) available within the SERVICE(S), including communicating with other Members, and another member or subscriber.

Non-subscribing Members will not be able to use the SERVICE(S) to communicate with you.

MEMBER PROFILES – Member profiles (both subscribers and non-subscribers) may remain posted on the Website even if that Member is not actively using the SERVICE(S).

All prior members also acknowledge that although a Member’s profile may be viewed, you may not (even as a subscriber) be able to use the SERVICE(S) to communicate with that Member if he or she is no longer a member or if they have chosen to block you from the SERVICE(S).

TERMS & TERMINATION – This Agreement will remain in full force and in effect while you use the SERVICE(S) and/or are a Member.

CANCELLATION – If you cancel your membership for any reason via the Website MAKE FRIENDS 247 requires a reasonable amount of time to process the action.

Upon you canceling your subscription, you will enjoy subscription benefits until the end of your then-current subscription commitment, following which your subscription benefits will expire.

However, in no event will you be eligible for a refund of any portion of the subscription fees paid for the then-current subscription commitment.

At no time can anyone but the member cancel their own membership.

If you cancel your membership, your profile will be removed, and other Members will not be able to view your profile.

Canceling a subscription does not automatically cancel your membership. If you hide your profile, other Members will not be able to view your profile until you “unhide” your profile.

A Member can hide his or her profile or cancel his or her membership and remove their profile at any time.

MAKE FRIENDS 247 – may terminate or suspend your subscription and/or membership in the SERVICE(S) at any time without notice if the Company believes that you have breached this agreement in any way.

Upon such termination or suspension, you will not be entitled to any refund of unused subscription fees and, if applicable, all unpaid subscription amounts and other fees you owe will immediately be due.

MAKE FRIENDS 247 is not required to disclose, and may be prohibited by law from disclosing, the reason for the termination or suspension of your account.

If your membership or subscription becomes terminated for any reason, all terms of this agreement survive such termination, and continue to be considered in full force and in effect, except for any terms that by their nature expire or are fully satisfied.

PERSONAL USE – MAKE FRIENDS 247 Website and SERVICE(S) is for personal use only at no time is any member allowed to use MAKE FRIENDS 247 SERVICE(S) in connection with any commercial endeavors whatsoever advertising or soliciting any user to go to another dating website or advertising or soliciting any user to buy or sell any products or SERVICE(S) that are not being offered not offered by MAKE FRIENDS 247 is in violation of MAKE FRIENDS 247 and any soliciting others to attend parties or other social functions, or networking, for commercial purposes or one’s personal gain is strictly prohibited.

MAKE FRIENDS 247 also does not do any background checks of any of its members in an attempt to verify any statements of its members unless involved in a criminal act or are involved in a situation that warrants one.

MAKE FRIENDS 247 makes no representations or warranties as to the conduct of any of its members or their compatibility towards another member with any current or future members.

MAKE FRIENDS 247 reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches), at any time and using available public records without written consent of its member or members.

MAKE FRIENDS 247 – is not responsible for the conduct of any Member, and in no event shall

MAKE FRIENDS 247 or any of its affiliates or its partners be liable (directly or indirectly) for any losses or damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of MAKE FRIENDS 247 Website or SERVICE(S) including, without limitation, death, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other Member, members, or persons with whom you meet through this SERVICE(S).

POSTING – By posting Content on MAKE FRIENDS 247 Website or as part of MAKE FRIENDS 247 you automatically grant MAKE FRIENDS 247 and its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid-up, worldwide right and license to use, copy, store, perform, display, reproduce, record, play, adapt, modify and distribute any and all content, and prepare derivative works of the content or incorporate the content into other works, and you further grant and authorize sub-licenses of the foregoing in any media now known or hereafter created.

Providing, or attempting to provide personal or business, or company information or data you do not have a right to make available under law or under contractual or fiduciary relationships – like inside information, proprietary and confidential information;

Attempting to disrupt any or all normal flow of text, content, ones dialogue, or tries to or causes a screen or a user(s) screen to “scroll” faster than other users are able to type, or otherwise negatively affects other users’ ability to engage in real time exchanges;

Knowing Solicits, tries, attempts to gain passwords or personal identifying type of information for commercial or unlawful purposes from other users or tries to disseminates another person’s personal information without his or her approved sole permission;

Announces, publicizes or attempts to try and promotes commercial activities and/or sales without MAKE FRIENDS 247 prior written consent such as contests, sweepstakes, barter, advertising, pyramid schemes, or other illegal unwanted types of unauthorized promotions;

MAKE FRIENDS 247 reserves the right, in its sole discretion, to investigate and take any appropriate legal action against anyone who violates these terms, including removing their offending communication from MAKE FRIENDS 247 Website and terminating or suspending that membership of such other violators as necessary;

RELEASE OF INFORMATION – Your use of the MAKE FRIENDS 247 Website and SERVICE(S), including all content you post through MAKE FRIENDS 247, must comply with all applicable laws and regulations.

You further acknowledge and agree that MAKE FRIENDS 247 may access, preserve and disclose your account information and all electronic content if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary, such as to;

Comply with any legal process necessary;

To be able to enforce any or all of this TERMS OF SERVICE Agreement;

When you are communicating with our customer care representatives (whether over the telephone, or via email or letter), you agree to not be abusive, obscene, offensive, racially offensive, sexist, threatening, harassing, or use any type of profanity, or behave inappropriately at any time, doing so will revoke your SERVICE(S) and you will be bared and denied any SERVICE(S) to MAKE FRIENDS 247 forever.

Telephone calls between you and our customer care representatives may or may NOT be recorded for quality assurance purposes.

ZERO TOLERANCE FOR CSR ABUSE – At any time should anyone at MAKE FRIENDS 247 feel that your behavior towards anyone of our customer care representatives or other employees at any time be in a threatening or offensive manner, we reserve the right to immediately terminate your membership and you will not be entitled to any refund of unused subscription fees then or later.

MEMBER ONLINE BILLING – MAKE FRIENDS 247 does all of its billing through an online account otherwise known as MEMBER ONLINE BILLING – MOB (your “MOB”) for use of the SERVICE(S).

You agree to pay MAKE FRIENDS 247 for all SERVICE(S) connected to your online membership to be in good standing.

All charges and fees are what you have agreed to when you have personally decided what MEMBERSHIP you were interested.

SIGN UP / ENROLLMENT – At the time of your enrollment for the membership plan, you personally chose what plan and features you wanted. At the end of your plan you may decide to upgrade or stay in the one you presently are in.

By signing up for your membership you agreed to pay for the SERVICE(S) you chose to sign up for with the understanding there was going to be recurring billing which would be paid through a third party to pay for your membership for the use of MAKE FRIENDS 247 SERVICE(S) by you or another person you may have decided to pay their membership for.

By signing up for membership you have solely authorized a third party to pay MAKE FRIENDS 247 for the membership plan of your choice.

And your chosen payment provider will be otherwise known as (your “Payment Method”) for MAKE FRIENDS 247 SERVICE(S).

You agree to make payments and continue paying for your payments using your selected Payment Method that MAKE FRIENDS 247 uses.

MAKE FRIENDS 247 may correct any billing errors or mistakes that it makes even if it has already requested or received your payment.

This includes any agreements you made with MAKE FRIENDS 247 on its Website when becoming a Member or subscribing to MAKE FRIENDS 247 to receive its SERVICE(S).

The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method.

CHARGE BACKS – If you initiate a charge-back or otherwise reverse a payment made with your Payment Method, MAKE FRIENDS 247 may in its discretion terminate your account immediately with MAKE FRIENDS 247 but remember MAKE FRIENDS 247 offers no refunds and has stated above that there is NO REFUNDS which was made known earlier in the top of this TERMS OF SERVICE(S) AGREEMENT.

By MAKE FRIENDS 247 being challenged by your dispute of a reversal, and the reversed funds are returned, you are not entitled to a refund or to have your account or subscription reinstated whatsoever.

CANCELLATION – Your subscription will continue indefinitely until personally cancelled by you.

After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to make payments for when you subscribed for MAKE FRIENDS 247 SERVICE(S).

You also agreed by accepting this TERMS OF SERVICE(S) AGREEMENT that your account will continued to be subject to our automatic recurring renewal feature.

If you do not wish your account to renew automatically any more you MUST notify MAKE FRIENDS 247 that you are wanting to cancel your membership and MAKE FRIENDS 247 will terminate your subscription but you will NOT get a refund and your access with MAKE FRIENDS 247 will continue up to your last paid membership expiration date or beyond should MAKE FRIENDS 247 decide to extend your membership without any charge.

You further also authorize MAKE FRIENDS 247 to charge you for any sales or similar taxes that may be imposed on your subscription payments if so required by law.

And upon the renewal of your subscription, if MAKE FRIENDS 247 does not receive your payment from your Payment Method provider, you hereby once again agree to pay for any and all amounts due on your Billing Account upon demand and/or you agree that MAKE FRIENDS 247 may either terminate or suspend your subscription and continue to attempt to charge your Payment Method provider until payment is received.

Upon receipt of your payment, your account will be activated and for purposes of automatic renewal, your new subscription commitment period will begin as of the day payment was then received.

BILLING CREDIT CARD INFORMATION – You must always provide your current and complete required information and your accurate information for your MOB Account.

You must promptly update all information to keep your MOB account current, complete and accurate at all times.

Should there be a change in you billing address, credit or debit card number or expiration date. You must have your new information for your Payment Method in which you are using.

If your Payment Method should not go thru at any time you MUST provide that information to your Payment Method you are using.

MAKE FRIENDS 247 does not keep any members CREDIT or DEBIT PAYMENT OTHERWISE KNOWN AS PAYMENT METHOD information on our server at all.

CHANGE OF SERVICE(S) – MAKE FRIENDS 247 hereby reserves the right at any time to modify or discontinue, temporarily or permanently, MAKE FRIENDS 247 Website SERVICE(S) (or any part thereof) with or without notice.

You agree that MAKE FRIENDS 247 shall not be liable to you or to any third party for any modification, suspension or discontinuance of said SERVICE(S).

YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF MAKE FRIENDS 247 WEBSITE OR SERVICE(S) OR THE TERMS OF THIS AGREEMENT MUST BE FILED IN WRITING WITHIN THIRTY 30 DAYS AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

ARBITRATION AND GOVERNING LAW – The exclusive means of resolving any dispute or claim arising out of or relating to this TERMS OF SERVICE(S) AGREEMENT (including any alleged breach thereof), the SERVICE(S), or MAKE FRIENDS 247 Website shall be considered a BINDING ARBITRATION administered by the American Arbitration Association located and govern in the United States of America.

You hereby irrevocably consent to the jurisdiction of those courts for such purposes.

This Agreement, and any dispute between you and the Company, shall be governed by the laws of the state of New Hampshire without regard to principles of conflicts of law, provided that this arbitration agreement shall be governed by the Federal Arbitration Act.

INDEMNITY BY YOU – You agree to indemnify and hold MAKE FRIENDS 247 its owner(s) or subsidiaries, and affiliates, and its and their officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including all attorney’s fees, in which by you or you allowing someone else to click on the TERMS OF SERVICE(S) AGREEMENT to gain access to MAKE FRIENDS 247 did read that any and all attorney’s fees and legal fees made by any third party due to or arising out of your breach of or failure to comply with this Agreement (including any breach of your representations and warranties contained herein), any postings or content you post on MAKE FRIENDS 247 Website or as a result of the SERVICE(S), and the violation of any law or regulation by you. MAKE FRIENDS 247 reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with MAKE FRIENDS 247 in connection therewith.

Such notices may not be received if you violate this TERMS OF SERVICE(S) AGREEMENT by accessing MAKE FRIENDS 247 SERVICE(S) in an unauthorized manner. You further hereby agree that you are deemed to have received any and all notices that would have been delivered had you accessed MAKE FRIENDS 247 SERVICE(S) in an authorized legal manner.

ENTIRE AGREEMENT OTHER – This TERMS OF SERVICE(S) AGREEMENT, with the Privacy Policy and any specific guidelines or rules that are separately posted for particular SERVICE(S) or offers on MAKE FRIENDS 247 Website, contains the entire TERMS OF SERVICE(S) AGREEMENT between you and MAKE FRIENDS 247 regarding the use of MAKE FRIENDS 247 Website and/or the SERVICE(S). You agree that your online account is non-transferable and all of your rights to your profile or contents within your account terminate upon your death. No agency, partnership, joint venture or employment is created as a result of this TERMS OF SERVICE(S) AGREEMENT and you may not make any representations or bind MAKE FRIENDS 247 in any manner.

AMENDMENT – This TERMS OF SERVICE AGREEMENT is subject to change by MAKE FRIENDS 247 at any time. If you are a non-subscribing Member at the time of any change, the revised terms will be effective upon posting on MAKE FRIENDS 247 Website and your use of MAKE FRIENDS 247 SERVICE(S) after such posting will constitute acceptance by you of the revised TERMS OF SERVICE(S) AGREEMENT. If you are a subscribing Member at the time of any change, the then-existing TERMS OF SERVICE(S) AGREEMENT will continue to govern your membership until such time that you renew your subscription as contemplated above in this TERMS OF SERVICE(S) AGREEMENT. If you continue your subscription, your renewal will constitute acceptance by you of the revised TERMS OF SERVICE(S) AGREEMENT. Alternatively, if you terminate your subscription at such time, your use of MAKE FRIENDS 247 SERVICE(S) after your termination will constitute acceptance by you of the TERMS OF SERVICE(S) AGREEMENT.

SPECIAL STATE TERMS – The following provisions are added to this Agreement for subscribers residing in Arizona, California, Connecticut, Illinois, Iowa, Minnesota, New York, North Carolina, Ohio and Wisconsin:

You, the buyer/member, may cancel this agreement, without penalty or obligation, at any time prior to midnight of the third business day following the original date of this contract, excluding Sundays and holidays. To cancel this agreement, mail or deliver a signed and dated notice which states that you, the buyer, are canceling this agreement, or words of similar effect.

YOU MUST include your MAKE FRIENDS 247 username and email address in any correspondence or your refund may be delayed.

If you cancel, MAKE FRIENDS 247 will return, within 30 days of the date on which you give notice of cancellation, any payments you have made. If you send or deliver the notice to cancel your subscription agreement within such three day period, we will refund the full amount of your subscription.

In the event that you become medically disabled in such that you are unable to use the SERVICE(S) of MAKE FRIENDS 247 before the end of your subscription period, you shall be entitled to a refund of that portion of any payment you had made for your subscription which is allowable to the period after your disability by providing MAKE FRIENDS 247 notice at the same address as listed above.

In the event that you die before the end of your subscription period, your estate shall be entitled to a refund of that portion of any payment you had made for your subscription which is allowable to the period after your death.
